How do I add or remove a member from my LLC?
Update the Operating Agreement, file an amendment if your state requires one, update the EIN responsible party if applicable.
Adding or removing a member is a three-part change:
1. Operating Agreement amendment
The OA controls who owns what percentage. Amend it to reflect the new ownership structure. All current and incoming members sign. We can draft this for $99.
2. State filing (if required)
Most states do not require a state filing for member changes (the OA is private). Some · Florida, Texas, and a few others · require an Articles of Amendment if you listed members in the original Articles. Filing fees typically $25-$150.
3. EIN responsible party update
If you change the LLC's "responsible party" (the person on Form SS-4), you must file Form 8822-B with the IRS within 60 days. No fee. We handle this as part of the change service.
4. Tax classification implications
If you go from a single-member LLC (taxed as sole proprietorship) to a multi-member LLC (taxed as partnership), you have a new IRS tax classification effective the day of the change. You will file Form 1065 going forward instead of Schedule C.
